LLC banking resolution checklist: authority, scope and signatures

Ask the institution before drafting

Begin with the bank or financial provider’s own checklist. It may accept a general company resolution, require a specific form or request other evidence of authority. Preparing a PDF before checking those requirements can create unnecessary rework. Ask which people must be identified, what signatures are needed and whether the proposed account type needs a different approval process.

Identify the company and representative accurately

Use the legal company name and the intended representative’s actual name. Compare these details with formation documents, governing records and the application. The representative may act for the company without owning it, so do not infer ownership from account access. Record the approving person’s capacity separately from the person who will operate the account.

Keep ordinary account powers bounded

Our free template concerns an ordinary deposit-account application and administration. It deliberately excludes borrowing, guarantees, asset pledges and investment transactions. Those actions can create materially different obligations and deserve separately reviewed authority. Read the final wording against the intended account relationship rather than assuming that a document titled “banking resolution” covers every financial decision.

Verify approvals before using the PDF

The generator records the authority basis entered by the visitor but cannot check the operating agreement, a vote or a signature. Obtain the approvals that actually apply to the company. Keep signed supporting records where required. A downloaded file is not proof of provider acceptance, and a signature line left blank does not become an electronic signature merely because the document is a PDF.

Maintain records after an account opens

Store the accepted signatory information and the institution’s terms with the approved resolution. When a representative leaves or authority changes, follow the provider’s update and revocation procedure promptly. Updating only the internal file may leave the external account permissions unchanged. Keep client credentials under client control and share documents only through the institution’s approved process.
