LLC ownership records vs ownership-transfer documents

Learn what a member register records and why changing a percentage in a PDF does not transfer an LLC interest.

A register describes the current position

An ownership register is a dated internal schedule of the members and the interests recorded for them. It helps organize information for internal review and other legitimate requests. It does not independently establish that an interest was validly issued or transferred. Begin with the signed governing documents and completed transactions, then prepare a register that accurately reflects those records.

A transfer is a separate transaction

An intended ownership change can involve permissions, restrictions, tax questions and documents beyond a member list. Review the operating agreement and applicable rules before agreeing the change. Do not treat the free generator as an assignment contract, buyout agreement or legal opinion. Where a real transfer is proposed, explain the transaction to support or a qualified adviser and identify the complete scope before preparing signatures.

Percentages do not express every right

A simple ownership percentage does not necessarily tell a reader everything about voting, profit allocations, distributions or different classes of interests. The free register checks that entered percentages total 100%, but arithmetic is not legal validation. If the company has special arrangements, refer to the governing agreement and obtain a record suited to those arrangements instead of compressing them into a misleading single number.

Preserve the history behind updates

After an approved change is completed, create a new dated register and retain the previous version. Store the authorization, signed transaction documents and supporting records together. A clear history helps explain why the schedule changed. Avoid overwriting a signed record without an amendment trail, and never backdate a new schedule to suggest an earlier transaction occurred when it did not.

Consider external records separately

A revised internal PDF does not notify banks, payment providers, a state office or the IRS. Different relationships may require their own update process. Identify affected records and the person responsible for each step. Keep personal identifiers out of a general support message; describe the requested change first and arrange appropriate handling of sensitive documents after the service scope is agreed.
