1. Formation and adoption

This Operating Agreement is adopted by [Owner / contributing member’s legal name] (the Member), the sole member of [Company legal name] (the Company), effective [Document date]. 2. Name, offices and registered agent

The Company shall conduct business in its legal name or under an assumed name properly authorized for use. Its principal office is stated above. 3. Purpose and duration

4. Sole member and membership interest

Any admission of a member shall be documented as provided in Section 11.

5. Capital contributions and member advances

Additional contributions require the Member's written decision. 6. Member management and authority

The Company is member-managed. The Member shall direct its business and may execute agreements and authorize ordinary business transactions on its behalf. The Member may appoint employees, officers or agents by written authorization stating the powers granted and any limits. Delegation does not transfer a membership interest. Actions outside an authorization require a separate approval. Persons signing for the Company shall identify the Company and their representative capacity.

7. Company property and separate records

Property acquired by the Company belongs to the Company and not to the Member individually. Company funds shall be maintained in accounts in the Company’s name and shall not be commingled with personal funds. Transfers between the Member and the Company shall be identified and supported in the records. Company liabilities shall be paid from Company assets, subject to obligations separately undertaken and applicable law. Nothing in this Agreement excuses fraud, misconduct, personal guarantees or liability otherwise imposed by law.

8. Books, tax records and fiscal year

The Company shall maintain its formation records, this Agreement and amendments, a member register, material decisions, contracts and reasonably complete financial records at its principal office or another location designated by the Member. The Member shall have access to those records. The fiscal year shall end on [Fiscal year-end (month and day)], subject to applicable tax requirements. Tax filings and elections shall be handled as separately authorized and required by law; this Agreement itself makes no tax election.

9. Allocations and distributions

Subject to applicable tax law, the Company’s profits and losses shall be attributable to the sole Member. The Member may authorize distributions after providing for Company obligations and reasonable reserves. No distribution may be made if prohibited by applicable law, including applicable solvency restrictions. A distribution shall be recorded with its date and amount. No fixed distribution or return of capital is promised by this Agreement.

10. Decisions, duties and reimbursement

Material Company decisions shall be recorded in written consents, resolutions or other appropriate records. The Member and authorized representatives shall comply with duties imposed by applicable law; no non-waivable duty is eliminated by this Agreement. The Company may reimburse reasonable, documented expenses properly incurred for Company purposes. Compensation, related-party transactions and reimbursements shall be documented with their business basis. No indemnity or release beyond applicable law is created by this clause.

11. Transfers and additional members

A transfer of an interest and the admission of a new member are distinct matters. Each proposed transaction shall be documented and completed subject to applicable law and any binding restriction. A transferee receives only the rights lawfully transferred and is not admitted as a member merely by receiving an economic interest. Before admitting another member, the Member shall approve an amended or replacement operating agreement addressing the resulting ownership, voting, management, distributions and transfer terms.

12. Death, incapacity and succession

On the Member’s death or incapacity, the rights of a personal representative, successor or other person shall be determined by applicable law and valid succession instruments. This Agreement does not nominate a successor, override an estate plan or authorize an unappointed person to act. Any continuation, admission of a successor or winding up shall be recorded and completed within the procedures and time limits required by law.

13. Dissolution and winding up

The Company shall dissolve on the Member’s lawful written decision or another event requiring dissolution under applicable law. An authorized person shall wind up its affairs, collect and realize assets, discharge or make adequate provision for liabilities, complete required filings and distribute the remaining assets in the priority required by law. Company records and the final accounting shall be retained. Distributions shall not prejudice rights of creditors or override mandatory winding-up rules.

14. Amendments, notices and governing law

Amendments shall be in writing and adopted by the Member with any additional consent required by law or an existing binding obligation. Notices shall be delivered to the address recorded for the relevant recipient, or another address designated in writing. The laws of [Formation state] govern this Agreement, subject to applicable mandatory law. If a provision is unenforceable, the remaining provisions shall operate to the extent permitted by law. Nothing here waives a non-waivable right or modifies the rights of a third party without that party's required consent.

What this template covers

The draft identifies the company, formation jurisdiction, sole member and principal office, then records basic management, capital, company records, distributions, ownership changes and winding-up provisions. Prepare the information first

Use the exact accepted LLC name, the correct formation jurisdiction and the intended effective date. Identify the sole individual member, describe the lawful business purpose and enter the agreed initial contribution. A principal office is not automatically the same as a registered-agent or mail-service address. Check the accepted state documents before generating the draft.

When this general form is not enough

Multiple owners need carefully agreed voting, economics, transfer, departure and dispute terms. Outside investment, special allocations, manager-managed structures, regulated activities and estate planning also require a more specific document. The generator deliberately does not invent those terms. Choose specialized operating-agreement support or a qualified attorney for that work.
